talex-touch Software License Agreement

This Software License Agreement ("Agreement") is between you (either an individual or an entity) and talex-touch Inc. ("talex-touch") regarding the talex-touch software ("Software").

1. License Grant: talex-touch grants you a non-exclusive, non-transferable, limited license to use the Software solely for personal, non-commercial purposes. You may install and use the Software on any compatible device owned or controlled by you.
2. Restrictions: You may not sublicense, rent, lease, lend, sell, distribute, or otherwise transfer the Software. You may not modify, adapt, translate, reverse engineer, decompile, or disassemble the Software, or create derivative works based on the Software.
3. Intellectual Property: The Software and all intellectual property rights therein are owned by talex-touch and its licensors and are protected by copyright laws and international treaty provisions.
4. Support and Maintenance: talex-touch has no obligation to provide support, maintenance, updates, upgrades, or modifications to the Software.
5. Termination: This Agreement is effective until terminated. talex-touch may terminate this Agreement at any time without notice if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession or control.
6. Disclaimer of Warranty: THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. talex-touch DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.
7. Limitation of Liability: IN NO EVENT SHALL talex-touch OR ITS LICENSORS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF talex-touch HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflicts of law provisions.
9. Entire Agreement: This Agreement constitutes the entire agreement between you and talex-touch regarding the Software and supersedes all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, whether written or oral, regarding the subject matter herein.
